Terms of service

1/. GENERAL CONDITIONS OF SALE

1. SCOPE - The following conditions are valid for all quotations and sales/services of pumps and accessories by KG NORMAN LTD (KGN) unless otherwise provided in writing for any particular quotation or sale. The acceptance of any goods/services from KGN will be deemed as agreement to these conditions.

2. QUOTATIONS - Quotations are valid for 30 days from the date of issue unless otherwise stated in writing and are subject to confirmation by KGN at the time of acceptance. All prices are exclusive of VAT.

3. ORDERS - Acceptance of orders based on quotations is confirmed by KGN prior to processing. The goods will be supplied at the confirmed price subject to any required amendment to take account of changes in trade conditions, raw material supply, imposed taxes or similar occurrences beyond the control of KGN. Orders may be cancelled only with the agreement of KGN in writing and against payment of its charges.

4. DELIVERY - All delivery times are given ex our warehouse, unless otherwise notified in writing. KGN does not accept any liability for delays in delivery which result from force majeure or any other causes outside it influence or control. Should the Purchaser fail to comply with agreed conditions of terms of payment KGN shall be entitled to terminate the contract.

5. DESPATCH – All quoted prices are ex KGN warehouse unless otherwise stated.

6. CLAIMS - Written notice giving full details of Claims which are not covered by the guarantee contained in Clause 10 must be received by KGN not later than eight days after delivery to the Purchaser of goods. After this date the Purchaser shall be deemed to have accepted the goods as conforming to their order.

7. PAYMENTS – Credit payment terms are end of the month following date of invoice, unless otherwise agreed in writing. Overdue accounts will be subject to monthly interest charges up to a maximum of 2% per month over our Bankers Minimum Lending Rate. A full month’s interest will be charged for any part of a month. The Purchaser has no right to withhold payment due to possible claims against KGN unless agreed to by KGN in writing. Early settlement discount is available on application.

8. EXTRA COST – Should KGN incur costs as a result of suspension or alteration of the work due to the Purchaser’s instructions or lack of instructions, or by reason of interruptions, delays, overtime, unusual hours, mistakes or work occasioned by the act or default of the Purchaser, such cost shall be added to the contract price and paid by the Purchaser.

9. BAILEE – Until the purchase price is fully paid to KGN, the Purchaser shall remain a bailee only and the goods shall remain the property of KGN. If the Purchaser fails to pay any amount due to KGN on the due date for payment or be the cause of any other default, KGN shall at any time thereafter be entitled to repossess the goods. In addition, the Purchaser shall indemnify KGN against any loss or injury howsoever arising from the default. Irrespective of the retention of property in the goods by KGN in accordance with the above provisions, all goods supplied by KGN to the Purchaser shall be at the risk of the Purchaser as soon as they are delivered by KGN in accordance with the Purchaser’s order.

10. GUARANTEE/WARRANTY – KGN gives a 12 month guarantee from the date of sale by KGN (or a Distributor, upon production of proof of sale) on all goods manufactured or supplied by it. If within this period any defect is discovered in respect of workmanship, construction or material, KGN undertakes to make good the defect or replace the defective part at its expense inside normal working hours at our premises, provided that we are notified immediately the defect is discovered and that the correct warranty procedure as laid down by KGN at the operative time is strictly followed in each and every case. All units or parts thereof subject to a claim under this guarantee and warranty procedure must be returned to our premises carriage paid if required by KGN. A replacement unit or part will be supplied under invoice if requested. In the event that the claim is found to be justified, the cost of the carriage will be reimbursed and a new unit or part supplied under invoice if required and a credit note raised for the faulty unit or part. If the claim is found to be unjustified, the Purchaser will be given the option of having the unit or part thereof returned or repaired at his cost at current rates. All such units or parts thereof will be held pending the decision of the Purchaser for one month before being scrapped in line with our environmental policy. Spares or repaired parts will be delivered ex warehouse exclusive of fitting.

    This guarantee does not apply to defects caused by incorrect application, fitting or erection, abnormal conditions of working, accident, misuse or neglect. The responsibility of KGN is in all cases limited to the cost of making good the defect or replacing the defective part and KGN excludes all liability for any consequential or other damage or losses which may occur.

    KGN reserves the right to alter these Conditions at short notice to meet operating requirements.
